    This paper investigates the implications of the fair value protections contemplated by the standard corporate contract (i.e., the standard contract form for which corporate law provides) for the entrepreneur-venture capitalist relationship, focusing, in particular, on unavoidable value-destroying trade sales. First, it demonstrates that the typical entrepreneur-venture capitalist contract does institutionalize the venture capitalist's liquidity needs, allowing, under some circumstances, for counterintuitive instances of contractually-compliant value destruction. Unavoidable value-destroying trade sales are the most tangible example. Next, it argues that fair value protections can prevent the entrepreneur and venture capitalist from allocating the value that these transactions generate as they would want. Then, it shows that the reality of venture capital-backed firms calls for a process of adaptation of the standard corporate contract that has one major step in the deactivation or re-shaping of fair value protections. Finally, it argues that a standard corporate contract aiming to promote social welfare through venture capital should feature flexible fair value protections

Das Gründungsgeschehen der Kreise variiert erheblich während des gesamten Zeitraums. Am aktuellen Rand liegt die Gründungsintensität zwischen 23 und 127 Existenzgründungen je 10.000 Erwerbsfähige. Sie ist über den Gesamtzeitraum jährlich um 4,3 % gesunken, doch rund 40 % der Kreise haben sich besser als der Durchschnitt entwickelt. Fünf Kreise weisen sogar eine insgesamt positive Entwicklung auf. Die unterschiedlichen Entwicklungen führten zu teilweise erheblichen Verschiebungen in der Rangordnung der Kreise nach Gründungsintensität. Die Unterschiede im regionalen Gründungsgeschehen sind im betrachten Zeitraum keineswegs stabil. Based on the business registration statistics, we examine the development of start-up activity in 401 districts and independent cities in Germany for the period from 2003 to 2019. At the current edge, an extremely heterogeneous picture emerges. The start-up intensity varies between 23 and 127 start-ups per 10,000 persons of working age. Over the entire period, the average annual decline in start-up intensity was -4.3 %. About 40 % of the districts have developed better than the average, and five districts even show a positive development on average for all years. The different developments have led to some considerable shifts in the ranking of the districts. The differences in regional start-up activity are also by no means stable over the period under review.

    In the attempt to boost innovation, policy-makers have enacted a myriad of programs targeting innovative start-ups in recent years. Empirical evidence on these initiatives has almost exclusively focused on national-level programs, overlooking those implemented at the local level. This paper provides the first quasi-experimental evidence on the joint effects of local policies focusing on Italy, where regional governments have been very active in providing financial support to these firms. By leveraging discontinuities in program design, we adopt a local randomization approach and document a null effect of these programs over a wide range of firm-level outcomes. However, we find that securing local subsidies increases start-ups' probability to obtain additional public subsidies, which points in the direction of a vicious "Matthew effect" in subsidy allocation. Consistent with a reputation/certification mechanism, the increase in follow-on subsidies occurs for funds disbursed at the local level only, whereas no effect is detected for subsidies allocated by national or international authorities.

    Big Data (BD) is becoming widely available and manageable. This raises the question of whether Big Data Analytics (BDA) in companies leads to better decision-making andhence performance. Based on a large, representative set of start-ups in Germany, we study the adoption of BDA among small and young ventures and analyze its economic effects using various short- and longer-term performance measures. We investigate the effect of adopting BDA on the new ventures' cost structure, sales, profits, survival rate, growth, and their probability of receiving Venture Capital (VC) financing while taking into account fac tors that drive BDA adoption. Our findings, however, show that using BDA does not lead to an immediate competitive advantage in terms of the classical short-term performance measures. BDA adoption is rather associated with greater sales/profit uncertainty, higher (personnel) costs, and a higher probability of failure. Yet, the increased risk of adopting BDA is compensated by a prospect of higher long-term performance conditional on survival. BDA-adopting start-ups perform better than comparable ones when considering longer-term performance measures such as their growth and their ability to secure VC.
